These Terms of Service ("Terms") govern your use of the Cloudlvl platform and services ("Service") provided by Cloudlvl ("we," "us," or "our"). By registering for and continuing to use our application, you agree to be bound by these Terms. These Terms are applicable as soon as you use the Service.

1. Acceptance of Terms

By accessing, registering for, or using the Cloudlvl Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

We reserve the right to modify these Terms at any time. For any major modifications, users will be notified by email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

Cloudlvl is an AI-powered agent that helps create and manage infrastructure resources on cloud providers including Amazon Web Services (AWS), Microsoft Azure, and Google Cloud Platform (GCP) using natural language interactions. The Service is designed for businesses and individuals looking to improve their productivity in cloud infrastructure management.

Through conversational interfaces, users can create, update, or delete infrastructure resources. The Service targets users over 13 years of age who seek to streamline their cloud infrastructure management processes.

3. User Accounts and Registration

Account Requirements

To register for the Service, you must provide a valid email address and create a secure password. You may change both your email address and password at any time through your account settings.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Eligibility

You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Prohibited Uses

You agree not to use the Service for any of the following prohibited purposes:

  • Any illegal activities or purposes that could cause moral or financial harm to any entity
  • Using third-party automated services that would abuse the AI agent's capabilities
  • Bypassing the AI's primary use by discussing topics unrelated to cloud infrastructure management
  • Attempting to reverse engineer, decompile, or disassemble any part of the Service
  • Violating any applicable laws, regulations, or third-party rights
  • Interfering with or disrupting the Service or servers connected to the Service
  • Transmitting any harmful, threatening, abusive, or defamatory content

5. Account Enforcement

Suspension and Termination

In case of non-compliance with these Terms, we may suspend or terminate your account depending on the severity of the incident. We reserve the right to take these actions without advance notice.

Fraud and Abuse

In cases of fraud or abusive usage, we may immediately suspend or terminate your account. If damages are significant, we reserve the right to pursue legal action. Reasons for suspension or termination will be communicated via email.

No Refund for Violations

Accounts terminated for violation of these Terms are not eligible for refunds of any subscription fees or payments.

6. Service Plans and Limitations

Free Plan

The free plan provides limited access to functionality and restricts the number of messages that can be sent to the AI per day.

Paid Plans

Paid plans allow unlimited use of the AI within reasonable limits. All features become available except certain features reserved for validated enterprise customers. Reasonable limits are designed to prevent abuse and ensure fair usage across all users.

7. AI Limitations and Disclaimers

AI Accuracy

Our AI agent can generate errors and make mistakes. While human validation helps avoid errors, we cannot guarantee the accuracy of all responses or generated content.

User Responsibility

You are responsible for reviewing and validating all AI-generated content and infrastructure changes before implementation. We strongly recommend human oversight for all critical operations.

No Warranty

We use AI technology, and there is no guarantee that the Service is bug-free or will operate without interruption. The Service is provided "as is" without warranties of any kind.

8. Intellectual Property Rights

Resource Ownership

All infrastructure resources created through our Service are directly provisioned in your cloud provider account. You remain the owner of all resources created via our Service.

Metadata and Generated Code

We retain a copy of resource metadata for service operation in accordance with our Privacy Policy. We own the metadata of these resources and generated code, but not the resources themselves. Generated code is free for you to use without particular restrictions.

Service Intellectual Property

The Service, including all software, algorithms, and proprietary technologies, remains our intellectual property. These Terms do not grant you any rights to our intellectual property except as expressly stated.

9. Payment Terms

Subscription Plans

Payments for subscriptions to access additional features and lift usage limits are available on monthly or annual billing cycles. All prices displayed include applicable taxes to avoid surprises.

Refund Policy

You may obtain a refund for the current month if we determine you have not used or barely used the Service. If the Service has been used regularly, intensively, or multiple times, we cannot provide a refund for the current month.

Payment Processing

All payments are processed through secure third-party payment processors. We do not store your payment information on our systems.

10. Cancellation and Termination

Subscription Cancellation

You can cancel your subscription at any time via the portal provided by our secure payment processor (Stripe). Upon cancellation, you will retain your subscription benefits until the end of the current billing period and will not be charged for the following period.

Data Retention

In case of subscription cancellation, you will retain access to everything already created through our Service. No data will be deleted, although feature limitations may apply based on your plan level.

11. Service Updates and Availability

Service Updates

We reserve the right to update, modify, or discontinue the Service at any time without prior notice. We are not required to guarantee 100% availability of the Service.

Service Interruptions

We are not responsible for service interruptions, including but not limited to global outages, maintenance periods, or technical difficulties. We are not liable for any damages caused by service unavailability.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • Damages caused by AI-generated errors or inaccuracies
  • Losses resulting from service interruptions or unavailability
  • Damages arising from infrastructure changes made through the Service
  • Any other damages or losses arising from your use of the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cloudlvl, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Infrastructure changes made through the Service

14. Governing Law and Dispute Resolution

Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including their interpretation, validity, or breach, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California, and shall be conducted in English.

Each party shall bear its own costs and expenses, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court having jurisdiction.

Waiver of Rights

BY AGREEING TO THESE TERMS, YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cloudlvl regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or any other provision.
